Terms of Service

1. Acceptance of Terms

By accessing or using PayOps (the "Platform"), operated by Tungsten Technologies Inc. ("Tungsten," "we," "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use PayOps. By using the Platform, you represent that:

• You are of legal age in your jurisdiction
• You are not located in a sanctioned country or on any sanctions list
• You will comply with all applicable laws and regulations

3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. You agree to immediately notify us of any unauthorized use.

4. Platform Description

PayOps is a stablecoin accounts payable and treasury execution platform. The Platform enables you to:

• Create and manage USDC payment workflows
• Process invoices with AI-assisted parsing
• Execute payments through Safe multisig wallets
• Transfer USDC cross-chain via Circle CCTP

5. Non-Custodial Nature

PayOps is non-custodial. We do not hold, control, or have access to your funds or private keys at any time. All transactions are prepared by the Platform but require your explicit approval through your Safe multisig wallet. You are solely responsible for the security of your wallet and private keys.

6. Fees and Billing

PayOps charges a flat per-payable fee as described on our pricing page. Fees are billed monthly in arrears. We reserve the right to modify pricing with 30 days' written notice. Your continued use after a price change constitutes acceptance.

A 14-day free trial is provided for new accounts. No payment information is required during the trial period.

7. Acceptable Use

You agree not to:

• Use the Platform for money laundering, terrorist financing, or any illegal activity
• Attempt to circumvent security measures or access other users' accounts
• Use automated tools to scrape, crawl, or exploit the Platform
• Transmit malware, viruses, or other harmful code
• Impersonate another person or entity
• Use the Platform to process transactions involving sanctioned entities

8. Blockchain Risks

You acknowledge and accept that:

• Blockchain transactions are irreversible once confirmed
• Smart contract interactions carry inherent risks including potential loss of funds
• Network congestion may delay transaction processing
• Stablecoin values may fluctuate and are not guaranteed by Tungsten
• Cross-chain transfers involve bridge risk

9. AI-Powered Features

PayOps uses AI to parse invoices, suggest payment routing, and classify communications. While we strive for accuracy, AI outputs may contain errors. You are responsible for reviewing and approving all AI-suggested actions before execution. We are not liable for losses resulting from reliance on AI-generated suggestions without verification.

10. Intellectual Property

The Platform, including its design, code, features, and documentation, is owned by Tungsten Technologies Inc. and protected by intellectual property laws. Your use of the Platform does not grant you ownership of any intellectual property rights.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TUNGSTEN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR DIGITAL ASSETS, WHETHER CAUSED BY TORT, CONTRACT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Tungsten, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

13. Termination

We may suspend or terminate your account at any time for violation of these Terms or for any reason with 30 days' notice. You may delete your account at any time through account settings. Upon termination, your right to use the Platform ceases immediately, but provisions that by their nature should survive (liability, indemnification, intellectual property) will remain in effect.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

15. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before they take effect. Your continued use of the Platform after changes take effect constitutes acceptance.
